Effective Date: Upon acceptance at registration by click and submission
Parties:
- Quantinoid LLC (“Platform Operator”), a Wyoming limited liability company (Reg. No. 2023-001261028), 30 N Gould St Ste R, Sheridan, WY 82801, USA, operating ERPConsult.ai.
- You (“User”): Any consultant, agency, recruiter, or employer registering for and using ERPConsult.ai.
By checking the box and entering your name, you agree to this Non-Disclosure Agreement (the “Agreement”).
- Purpose
The Platform Operator provides ERPConsult.ai, a global platform for connecting consultants, agencies, and employers. In using the platform, Users may access or exchange information that is confidential, commercially sensitive, or proprietary. This Agreement sets the rules for how such information must be treated.
- Definition of Confidential Information
“Confidential Information” means any non-public information disclosed or accessed through ERPConsult.ai, whether oral, written, electronic, or otherwise, including but not limited to:
- Consultant CVs, resumes, certifications, skills, rates, availability, project history.
- Employer hiring plans, budgets, project descriptions, organizational details.
- Agency client lists, rate cards, candidate pipelines, and operational methods.
- Quantinoid LLC business operations, systems, analytics, technology, pricing, designs, processes, or security information.
- Any information designated as confidential, or which a reasonable person would understand to be confidential.
Confidential Information does not include information that:
- Was public at the time of disclosure.
- Becomes public through no fault of the User.
- Is rightfully received from a third party without confidentiality obligations.
- Is independently developed by the User without reference to Confidential Information.
- Obligations of the User
The User agrees to:
- Use Confidential Information only for evaluating or engaging in recruitment and consulting opportunities through ERPConsult.ai.
- Not disclose Confidential Information to third parties except within the User’s organization, and only to individuals who need to know for legitimate purposes and are bound by confidentiality.
- Safeguard Confidential Information with at least the same degree of care as applied to the User’s own sensitive information.
- Not copy, scrape, harvest, or export Confidential Information outside platform functionality.
- Not attempt to reverse engineer, clone, or misuse the ERPConsult.ai platform or data.
- Immediately notify Quantinoid LLC at support@erpconsult.ai of any suspected breach or misuse.
- Non-Circumvention
Users must not use ERPConsult.ai to identify consultants, recruiters, or employers and then bypass the platform to avoid subscription fees or contractual obligations. Any attempt to circumvent the platform will be considered a material breach, subject to damages and account termination.
- Duration
- This Agreement remains in force while the User maintains an account and continues for five (5) years after termination of the account.
- Trade secrets and proprietary information remain protected indefinitely, for as long as they are legally considered trade secrets.
- Required Disclosure
If the User is compelled by law or authority to disclose Confidential Information, the User shall:
- Provide prompt written notice to Quantinoid LLC (unless legally prohibited).
- Limit disclosure to the minimum required by law.
- Cooperate with Quantinoid LLC in seeking protective measures.
- Intellectual Property
All Confidential Information remains the property of the disclosing party. No rights, licenses, or ownership are granted under this Agreement except for the limited right to use Confidential Information for legitimate platform purposes.
- Remedies and Liability
- Breach of this Agreement may cause irreparable harm for which monetary damages are insufficient. Quantinoid LLC and affected Users may seek injunctive relief, equitable remedies, and monetary damages.
- Users are liable for all misuse, including regulatory fines, damages, lost business, and legal costs.
- Quantinoid LLC may suspend or terminate accounts without refund for violations.
- Indemnity
The User will indemnify and hold harmless Quantinoid LLC, its affiliates, and other Users from any losses, costs, damages, fines, or claims arising from the User’s breach of this Agreement.
- Global Enforcement
- This Agreement applies worldwide.
- It is valid under electronic signature laws, including the ESIGN Act (US), eIDAS (EU), UK e-signature law, and equivalents in other jurisdictions.
- Users acknowledge that applicable privacy and data protection laws (e.g., GDPR, CCPA) may also apply.
- Governing Law & Dispute Resolution
This Agreement is governed by the laws of Wyoming, USA. Disputes will be resolved by binding arbitration under the American Arbitration Association in Sheridan County, Wyoming, unless local law requires otherwise. Class actions are waived.
- Relationship to Other Policies
This NDA supplements and forms part of Quantinoid LLC’s other platform policies, including:
All Users are bound by these documents in addition to this Agreement.
- Entire Agreement
This document constitutes the entire agreement on confidentiality between the User and Quantinoid LLC and supersedes any prior NDAs or arrangements related to platform use.
